Job Description: Commercial and Corporate Counsel

Key Responsibilities:
- Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of commercial contracts, with a particular focus on technology agreements and Statements of Work (SOWs) with customers, vendors, and strategic partners.
- Corporate Support: Provide corporate and company secretarial support to ensure compliance with relevant laws and regulations.
- Policy Development: Contribute to the ongoing development and review of precedent agreements, internal policies, and standardized processes to ensure consistency and efficiency.
- Contract Management: Lead the rollout of a Contract Lifecycle Management (CLM) platform to streamline and improve contract management processes across the company.
Core Qualifications, Experience, Attributes, and Skills:
- Dual Qualification: Dual-qualified in India and the US.
- Experience: Minimum of 3 years of experience in drafting and negotiating commercial contracts, particularly technology agreements, SOWs, and US law.
- Industry Knowledge: Relevant experience working in software companies serving the financial sector.
- Data Privacy Knowledge: Familiarity with data privacy laws, including Indian regulations like the Data Protection Bill and the IT Act, is highly desirable.
- In-House or Private Practice: Prior in-house experience is preferred, but private practice lawyers with strong commercial and business acumen will also be considered.
- Skills:
- Strong negotiation and legal drafting skills.
- Exceptional written and verbal communication skills, with the ability to engage effectively with colleagues at all levels and external clients.
- Ability to collaborate across different geographical locations, cultures, and time zones.
- Strong organizational skills, with the ability to manage and prioritize multiple matters while maintaining attention to detail and responsiveness.
